Affiliate Program Terms & Conditions
This agreement (“Agreement”) is made between StreetMindz and the Affiliate (collectively, the “Parties”) for participation in StreetMindz’s affiliate program. If the Affiliate does not wish to participate, please disregard this agreement and do not activate the affiliate program.
1. Introduction
Affiliate agrees to promote StreetMindz by displaying approved materials, including a link to StreetMindz’s website, within designated spaces on the Affiliate’s platform.
2. Promotional Materials
StreetMindz will provide Affiliates with banner ads, button links, text links, and other material for use on the Affiliate’s platform (“Promotional Materials”). Affiliates must use these materials to link directly to StreetMindz’s website as provided and must not alter them without prior written approval.
3. License and Intellectual Property
StreetMindz grants Affiliates a nonexclusive, non-transferable license to use the Promotional Materials for the purpose of promoting StreetMindz products and services. All Promotional Materials, and any associated intellectual property, remain the property of StreetMindz. Affiliates acquire no ownership rights to these materials.
4. Relationship of Parties
This Agreement does not create any employment, agency, or partnership relationship. Affiliates act as independent contractors, with no authority to bind StreetMindz to agreements or obligations.
5. Commissions
StreetMindz will pay Affiliates a commission based on sales generated through referral links on the Affiliate’s platform. Commissions are as follows:
- Commission Structure: Commission percentages vary by product and are based on the net income from Affiliate-generated sales. These rates are posted in the Affiliate Dashboard and may change with notification.
- Non-applicable Transactions: Commissions are not paid on products directly purchased by Affiliates, refunded transactions, or chargebacks. Commissions also exclude certain services, which our partners handle after determining accountability.
- Cookie Tracking: Affiliate referrals are tracked via cookies. If a customer uses cookie-blocking software or other tracking is unsuccessful, commissions are only paid on identifiable transactions.
- Last-Click Attribution: Commission is paid to the last-clicked referral link before a sale.
Commission payments are subject to a minimum balance of $200 USD, with payout through PayPal. StreetMindz is not responsible for any fees related to withdrawals.
6. Affiliate Responsibilities
Affiliate represents and agrees:
- Authority: Affiliate has the legal authority to enter this Agreement and is at least 18 years old.
- Content Compliance: Affiliate’s platform will not contain offensive, discriminatory, or unlawful content.
- Non-Alteration: Promotional Materials are used as provided, without unauthorized modification.
- Non-Solicitation: Affiliates must refrain from soliciting sales through unsolicited bulk emails or “spam.”
Affiliates who breach these terms or engage in referral manipulation may forfeit accrued commissions.
7. Pay Per Click (PPC) Policy
PPC bidding on keywords or phrases related to StreetMindz is not permitted.
8. Indemnification
Affiliate agrees to indemnify and hold harmless StreetMindz against any claims, damages, or costs arising from their use or misuse of the Promotional Materials or any breach of this Agreement.
9. Confidentiality
Any non-public information exchanged under this Agreement is deemed “Confidential Company Information.” Affiliates must not disclose this information without StreetMindz’s prior consent.
10. Term and Termination
This Agreement takes effect immediately and continues indefinitely unless terminated by either Party with at least 30 days’ written notice.
11. Taxes
Affiliates are responsible for any taxes arising from commissions received. StreetMindz will not withhold taxes on payments to Affiliates.
12. Limitation of Liability
StreetMindz is not liable for any indirect, incidental, or consequential damages arising from this Agreement, including any loss of profit or cost for substitute goods or services.
13. Miscellaneous
- Severability: Any unenforceable part of this Agreement does not affect the remainder.
- Headings: Section headings are for convenience only and do not impact interpretation.
- Entire Agreement: This Agreement constitutes the entire agreement between StreetMindz and Affiliate, superseding any prior discussions or agreements.
