Founding Protocol

StreetMindz “The Professional Artist Incubator” (SMZ) — held on 2 March 2017, at 1:00 PM, at the office premises of StreetMindz (SMZ).

Item 1

Welcome and Determination of Quorum

As convener, Zlatko Jankovski welcomes those present and determines that the following persons are present for the establishment of StreetMindz “The Professional Artist Incubator” (SMZ):

  • Zlatko Jankovski, residing in Zurich, as founding member
  • Angela Illi, residing in Zurich, as founding member

Accordingly, the minimum number of at least two founding members required under Article 60 et seq. of the Swiss Civil Code for the establishment of an association has been fulfilled, and the founding assembly is therefore quorate.

Item 2

Approval of the Agenda

Upon motion by Zlatko Jankovski, the agenda is unanimously approved.

Item 3

Election of the Chairperson of the Meeting

Zlatko Jankovski declares his willingness to act as chairperson of the meeting.

The proposal is unanimously approved by the founding assembly, and Zlatko Jankovski assumes the chair of the founding meeting.

Item 4

Election of the Secretary of the Meeting

Upon motion by Zlatko Jankovski, Angela Illi is appointed secretary of the founding assembly.

Item 5

Purpose for Establishing the Association

For some time, an artistic community has existed whose purpose is the promotion of art and artists. The community makes use of all forms, methods, and available means to support and promote art.

In order to strengthen this legal community both personally and over time, it has become necessary for the interested parties to unite in a legal entity with its own legal personality. The association, as a corporation with an idealistic purpose, represents the most suitable legal structure for this objective.

The founding members fully agree with these determinations.

The Executive Board is instructed to register the association in the commercial register.

Item 6

Approval of the Statutes

The chairperson presents the statutes drafted by the law firm ME Advocat Attorneys-at-Law for discussion.

A detailed discussion of the individual articles is waived. No amendments are proposed by those present.

The statutes attached as an appendix are unanimously adopted by the founding assembly.

Zlatko Jankovski declares the establishment of the association StreetMindz “The Professional Artist Incubator” (SMZ) as completed.

In addition to the statutes, the founding assembly unanimously resolves to issue operational regulations.

Item 7

Election of the Executive Board

The founding assembly elects the following members of the Executive Board for a term of three years until the ordinary General Assembly in 2020:

  • Zlatko Jankovski as President, with sole signature authority
  • Angela Illi as Vice President, Secretary, and Treasurer, with joint signature authority requiring two signatures

The elected members accept the election.

Item 8

Waiver of an Auditing Authority

The chairperson determines that the association is not subject to an ordinary audit pursuant to Article 69b paragraph 1 of the Swiss Civil Code.

Since the association will employ fewer than 10 full-time employees on annual average, the founding assembly unanimously resolves to waive the appointment of an auditing authority pursuant to Article 69b paragraph 3 of the Swiss Civil Code in conjunction with Article 727a paragraph 2 of the Swiss Code of Obligations.

Item 9

General Discussion

At the conclusion of the meeting, the chairperson thanks all attendees for their active support of StreetMindz “The Professional Artist Incubator” (SMZ).

No further topics are raised during the general discussion, and the chairperson closes the meeting at 2:30 PM.
